Distribution DAS — Dealer Fee and Commission Policy

Overview

Onboarding through DAS works by product category, not by individual brand. You pay a flat one-time onboarding fee for access to every brand DAS has onboarded within a category at the time of purchase (the fee varies by category). After that, you pay $29 USD every 4 weeks to keep your access to that category active, plus 3% of your gross sales on the brands DAS onboarded you to within it.

If you stop paying the recurring fee, or fall behind on commission, DAS can require you to stop selling the brands onboarded for you in that category — and a 5-year restriction on reselling those brands applies after your access ends. See the Non-Circumvention Policy and Termination Policy.

This is an agreement between you and DAS, not the manufacturer. DAS verifies your sales directly with manufacturers and can review your records at any time.

Full policy

1. Acceptance of terms
By purchasing onboarding services from DAS, the dealer agrees to be bound by this policy in full. Purchase constitutes acceptance. No separate signature is required, though DAS can require a signed services agreement incorporating these terms before onboarding begins.

2. Nature of this agreement
This policy governs the relationship between the dealer and Distribution DAS ("DAS") only. DAS is not a party to, and assumes no liability under, any agreement, purchase terms, or dealer contract the dealer enters into with a manufacturer/brand. Fee and commission obligations under this policy are owed to DAS directly, independent of the dealer's separate relationship with any manufacturer.

3. Category-based access and onboarding fee
DAS organizes brands by product category (for example, saunas, or cold plunges). Purchasing category access carries a one-time flat onboarding fee, payable to DAS, which varies by category. This fee covers DAS's work preparing and forwarding onboarding paperwork for every brand DAS has onboarded within that category at the time of purchase, and grants the dealer access to apply to all of them. It does not cover any manufacturer's own opening order minimums, which are a separate matter between the dealer and that manufacturer.

4. Recurring category fee (billed every 4 weeks)
To maintain access to sell the brands onboarded within a category, the dealer pays DAS $29 USD every 4 weeks, per category. This fee is billed for as long as the dealer maintains active category access, independent of sales volume.

5. New suppliers added to a category
DAS aims to add at least one new brand to each category a dealer has paid access to approximately every three months. This is a target DAS works toward, not a guaranteed delivery schedule, and does not entitle the dealer to a refund, credit, or fee adjustment if a new brand isn't added within any particular window.

6. Ongoing commission
The dealer owes DAS 3% of the dealer's gross sales revenue (including shipping and tax) on products from any brand DAS onboarded the dealer to within a paid category. This obligation exists because DAS facilitated the dealer's authorization with that brand, and applies for as long as the dealer maintains active, paid access to that category — regardless of how the dealer's purchasing relationship with any individual manufacturer evolves.

7. Sales verification
DAS can verify dealer sales directly with manufacturers, requesting confirmation of whether a given dealer generated sales and the corresponding amount. The dealer authorizes DAS to make these inquiries as a condition of onboarding. DAS may also review the dealer's own sales records at any time to verify commission owed.

8. Reporting and payment of commission
The dealer is responsible for reporting sales on brand products to DAS monthly. DAS invoices the 3% commission based on reported and manufacturer-verified figures, due within 10 business days of invoicing. The dealer's reporting and payment obligations run to DAS and are not satisfied by anything the dealer reports to, or pays, a manufacturer directly.

9. Onboarding cycle and VIP option
Standard applications are batched and sent to manufacturers on the first of each month. Onboarding materials are returned to the dealer within 5 business days of the manufacturer receiving the paperwork. Dealers who need faster turnaround can pay DAS a 50$ VIP expedited onboarding fee — this sends the dealer's paperwork to the manufacturer immediately instead of waiting for the monthly batch. Onboarding materials are still returned within 5 business days of the manufacturer receiving the paperwork.

10. Refunds
Refund eligibility for the onboarding fee is governed by the Refund Policy. Recurring category fees (billed every 4 weeks) and commission already invoiced or paid are non-refundable.

11. Suspension for non-payment
As a condition of category access, the dealer agrees that if the $29 every-4-weeks category fee or any commission owed to DAS is not paid within the applicable payment term, DAS has the contractual right to require the dealer to immediately cease promoting and selling every brand onboarded for the dealer within that category, and to notify the relevant manufacturers that the dealer's authorization has been suspended. Ending a category's access this way starts the 5-year restriction under the Non-Circumvention Policy.

12. Independence from the manufacturer relationship
The dealer's obligations to DAS (fees, commission, reporting, payment) survive independently of any dispute, change, or termination in the dealer's relationship with any individual manufacturer. If a manufacturer terminates the dealer's authorization for reasons unrelated to DAS, the dealer remains responsible for any commission owed to DAS on sales made prior to that termination, and remains bound by this policy with respect to any other brand in the category.

13. Per-category basis
The onboarding fee, recurring fee, and commission all apply separately per product category. A dealer active in multiple categories pays a separate onboarding fee and separate $29 every-4-weeks fee for each, and commission is tracked separately per category.
