Master agreement
- DAS is a facilitator: it introduces dealers to manufacturer dealer programs. The purchase and dropship contract sits between the brand and the dealer; DAS is not a party to it.
- All policies below are incorporated by reference — this is one agreement.
- DAS may amend terms prospectively. Material changes will be communicated by email.

Onboarding policy
- Dealer applies (name, store URL, category, revenue range).
- DAS pre-checks with the manufacturer.
- Manufacturer confirms → DAS submits paperwork and connects the parties.
- Onboarding materials (MAP sheet, images, price list) come from the manufacturer within 5 business days of receiving paperwork.
- The manufacturer holds final authority over its own program. DAS may decline any application at its discretion before the pre-check.

Termination policy
- Triggers: breach of these terms, manufacturer decision, or the dealer stepping away.
- Effect: stop selling and promoting the brand(s) immediately.
- Termination of one brand relationship does not affect others.

MAP disclaimer
- MAP, marketplace permissions, and advertising rules are set and enforced entirely by the manufacturer. DAS does not police pricing and is not liable for enforcement decisions.
- A MAP-related termination by a brand creates no claim against DAS.

Governing law
- These terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein.
- The parties agree to the exclusive jurisdiction of the courts of the Province of Quebec, judicial district of Montreal, for any dispute arising from or relating to these terms.
